Debentureholders who have questions or require voting assistance may contact the Company’s proxy solicitation agent:
To appoint a third party proxyholder, insert such person’s name in the blank space provided in the Form of Proxy or voting instruction form (if permitted) and follow the instructions for submitting such Form of Proxy or voting instruction form. This must be completed prior to registering such proxyholder, which is an additional step to be completed once you have submitted your Form of Proxy or voting instruction form. If you are a Beneficial Holder located in the United States, you must also provide the Trustee with a duly completed legal proxy if you wish to attend, participate or vote at the Meeting or, if permitted, appoint a third party as your proxyholder. See below under this section for additional details.
Step 2 – Register your proxyholder:
To register a proxyholder, Debentureholders MUST send an email to flowerone@odysseytrust.com by 10:00 a.m. (Vancouver time) for the meeting of the 9.5% Unsecured Convertible Debentures due November 15, 2022 and by 10:30 a.m. (Vancouver time) for the meeting of the 9.5% Unsecured Convertible Debentures due March 28, 2022 on April 13, 2021 and provide the Trustee with the required proxyholder contact information, the amount of Debentures appointed, the name in which the Debentures are registered if they are a Registered Holder, or the name of broker where the Debentures are held if a Beneficial Holder, so that the Trustee may provide the proxyholder with a Username via email. Without a Username, proxyholders will not be able to attend, participate or vote at the Meeting.

How to appoint a third party as proxy?

Voting Q&A
Where do I find my Control Number?- For registered debentureholders, your 12-digit Control Number is located on the proxy form.
- If you are a non-registered (beneficial) debentureholder, provided you appointed yourself as proxyholder and registered with Odyssey, you will have received an email from Odyssey after April 13, 2021 with your Control Number for the Meeting.
- If you are a duly appointed and registered proxyholder, you will receive your login username from Odyssey once the proxy deposit deadline has passed.
- As mentioned above, each registered debentureholder and duly appointed and registered proxyholder will have received a Control Number to access the Meeting.
- If you cannot find your Control Number, you should call Odyssey Trust at 1-888-290-1175 as soon as possible and request your Control Number.
- You may also attend as a guest but will not be able to post questions or vote.
- Once signed in you will see the information screen. When the meeting begins, press the “broadcast” icon to watch the webcast.
- Once you have logged in to the meeting, you are ready to vote. When the voting has opened, the polling icon will appear on the navigation bar at the top of your screen. The resolutions and voting choices will then be displayed. Please ensure you remain connected to the internet during voting. After you vote, a message confirming “vote received” will appear. Your vote can be changed by simply clicking the other option. If you wish to cancel your vote, please press “Cancel”.
- If you beneficially own your debentures through multiple accounts and want to vote all such debentures at the meeting, please ensure that when you appoint a proxyholder (including yourself), the name of the proxyholder is printed identically on each. When you complete the second step of registering with Odyssey, please use the same email address for each. That way Odyssey can try to combine your voting debentures and provide you with a single Control Number, representing all your debentures. Alternatively, you can vote certain of these debentures in advance by proxy and sign in through a single account.
- If you are a registered debentureholder with multiple accounts, Odyssey recommends voting by proxy. If you wish to ask questions at the meeting, sign in through a single account and vote the rest by proxy. Registered debentureholders can also appoint themselves (or other person of their choice) using an identical name. Odyssey will issue one control number to the appointee representing all the accounts. Alternatively, you can log into the meeting multiple times, and a new window will open for each log in. If you do this, remember to vote in each window to ensure all debentures are voted.
- Questions sent via the online platform will be moderated before being sent to the Chair in order to ensure that questions relate to the motion at hand during the formal part of the meeting and are not frivolous, vexatious or duplicative during the general question and answer period.
- When reading out a question, the Secretary will note the name of the debentureholder or proxyholder submitting the question. The Chair will then respond. If there are multiple questions that are substantially similar, the Secretary will read out only one of them and note that there are a few questions on the same topic. Any follow up questions will need to be asked the same way.
- Please be mindful of others by keeping your questions brief and asking only one question at a time.
